Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Rentol.ca (the "Site" or "Platform"), owned and operated by 14047907 Canada Inc. (doing business as "Rentol"), a corporation incorporated under the laws of Canada ("we," "us," or "our").

By accessing or using the Site, creating an account, listing a rental property, or inquiring about a rental property, you ("User," "you," or "your") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. Nature of the Platform

Rentol facilitates the connection between Landlords and Tenants. All transactions, arrangements, lease agreements, and tenancy relationships are solely between the Landlord and the Tenant. Rentol is not a party to any agreement entered into between Landlords and Tenants, including but not limited to lease agreements, rental contracts, or any other arrangements regarding a rental property.

2. No Verification of Listings

You acknowledge and agree that:

• Rentol does not verify, inspect, or validate any rental property, listing, description, photograph, pricing, availability, condition, legality, or any other information posted by Landlords on the Platform.
• Rentol does not verify the identity, background, creditworthiness, or legal authority of any Landlord or Tenant. We do not confirm whether a Landlord has the legal right or authorization to offer a property for rent.
• Rentol does not guarantee the accuracy, completeness, reliability, habitability, safety, or legality of any listing, rental property, or any content posted by Users.
• Rentol does not verify whether a rental property complies with local by-laws, zoning regulations, building codes, fire codes, health and safety standards, the Residential Tenancies Act, condominium rules, homeowners' association agreements, municipal licensing requirements, or any other applicable laws or regulations.
• Rentol does not conduct property inspections, pest inspections, safety audits, or habitability assessments of any kind.
• Any photographs, descriptions, floor plans, measurements, amenity lists, or other representations in a listing are provided solely by the Landlord, and Rentol makes no warranties regarding their accuracy.

3. User Responsibility and Assumption of Risk

Landlords are solely responsible for:

• Ensuring they have the legal right, ownership, or proper authorization to list and rent out a property.
• Complying with all applicable federal, provincial, and municipal laws, including but not limited to the Residential Tenancies Act, 2006 (Ontario), applicable landlord-tenant legislation in other provinces, human rights legislation, building codes, fire codes, health and safety standards, zoning regulations, and municipal licensing requirements.
• The accuracy and completeness of all listing information, including descriptions, photographs, square footage, number of rooms, amenities, pricing, availability, lease terms, and utility inclusions.
• The physical condition, habitability, safety, maintenance, and compliance of the rental property with all applicable standards.
• Obtaining any required permits, licences, or insurance related to renting out the property, including landlord insurance.
• Providing legally compliant lease agreements and adhering to all notice requirements, rent increase guidelines, and eviction procedures as required by applicable law.
• Reporting and remitting any applicable taxes on rental income earned through the Platform.
• Ensuring the property does not discriminate against prospective Tenants on any ground prohibited by applicable human rights legislation.
• Resolving any disputes with Tenants, property managers, condominium boards, municipalities, or other third parties.

Tenants are solely responsible for:

• Conducting their own due diligence before entering into any rental agreement, including independently verifying the suitability, safety, legality, habitability, and condition of any rental property.
• Physically viewing and inspecting a property before committing to any rental agreement.
• Verifying the identity and legal authority of any Landlord before making any payments or signing any agreements.
• Reviewing and understanding all terms of any lease or rental agreement before signing.
• Ensuring they have adequate tenant insurance or renter's insurance coverage.
• Complying with all applicable laws, lease terms, and property rules during their tenancy.
• Never sending deposits, rent payments, or any funds to a Landlord without first independently confirming the legitimacy of the listing and the Landlord's identity.

5. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Rentol makes no warranty or representation that:

• Any rental property listed on the Platform is safe, habitable, suitable, legal, available, as described, or fit for any particular purpose.
• Any User's identity, credentials, authority, creditworthiness, or representations are accurate or truthful.
• The Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.
• Any transaction or tenancy arrangement between Users will be completed satisfactorily.

6. Limitation of Liability

To the maximum extent permitted by applicable law, 14047907 Canada Inc., its directors, officers, employees, agents, affiliates, successors, and assigns (collectively, the "Rentol Parties") shall not be liable for any:

• Direct, indirect, incidental, special, consequential, punitive, or exemplary damages;
• Loss of profits, revenue, data, goodwill, or use;
• Damage to or loss of property (including personal belongings);
• Personal injury or death;
• Any damages arising from or related to any transaction, tenancy, interaction, or dispute between Users;
• Any damages arising from uninhabitable, unsafe, or non-compliant rental properties;
• Any damages arising from fraudulent listings, misrepresentations, or rental scams;
• Any damages arising from lease disputes, evictions, wrongful evictions, security deposit disputes, or rent disputes;
• Any damages resulting from reliance on information provided by any User or displayed on the Platform;

regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if the Rentol Parties have been advised of the possibility of such damages.

If, notwithstanding the foregoing, any Rentol Party is found liable, the aggregate liability of all Rentol Parties shall not exceed the lesser of (a) the total fees paid by you to Rentol in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100.00).

7. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless the Rentol Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

• Your use of or access to the Platform;
• Any listing you create or any rental inquiry or agreement you make through the Platform;
• Any transaction, tenancy, arrangement, or dispute between you and another User;
• Your breach or alleged breach of these Terms;
• Your violation of any applicable law, regulation, by-law, or third-party right, including the Residential Tenancies Act or any applicable landlord-tenant legislation;
• Any claim by a third party (including tenants, landlords, property owners, condominium corporations, municipal authorities, or the Landlord and Tenant Board) arising from your use of the Platform;
• Any damage to property or injury to any person arising from or related to a rental property you listed or occupied.

8. Intellectual Property

All content published and made available on the Site is the property of 14047907 Canada Inc. and the Site's creators. This includes, but is not limited to, images, text, logos, documents, downloadable files, and anything that contributes to the composition of our Site. You may not reproduce, distribute, or use any of our intellectual property without prior written consent.

9. User Accounts

When you create an account on the Platform, you agree that:

• You are solely responsible for your account and the security and privacy of your account, including any passwords or sensitive information attached to that account.
• All personal information you provide is current, accurate, and truthful, and you will update your information promptly if it changes.
• You will not create multiple accounts, impersonate another person, or transfer your account to any third party.

We reserve the right to suspend or terminate your account if you are using the Platform illegally or in violation of these Terms.

10. Acceptable Use

As a User, you agree to use the Platform lawfully and not to:

• Harass, threaten, discriminate against, or mistreat other Users;
• Post fraudulent, misleading, or deceptive listings or information;
• List properties that you do not own or have legal authority to rent;
• Violate the intellectual property rights of Rentol or any third party;
• Attempt to gain unauthorized access to another User's account or to the Platform's systems;
• Use the Platform for any illegal purpose or in any manner that violates applicable law;
• Post content that is offensive, defamatory, obscene, discriminatory, or otherwise objectionable;
• Use automated tools, bots, or scrapers to access or collect data from the Platform;
• Circumvent, disable, or interfere with any security-related features of the Platform.

If we believe you are violating these Terms, we reserve the right to limit, suspend, or terminate your access to the Platform without notice. We also reserve the right to take any legal steps necessary to prevent further violations.

11. User Content

Users may post the following types of content on the Platform:

• Rental property listings and descriptions;
• Photographs and floor plans of rental properties;
• Reviews and ratings of other Users;
• Messages to other Users through the Platform's messaging system.

By posting content on the Platform, you grant Rentol a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to all content you post and that your content does not infringe any third-party rights.

12. Payments

We accept Credit Card payments on the Site, processed through our third-party payment processor (Stripe). When you provide your payment information, you authorize us to charge the amount due to the payment instrument you have selected.

Payments processed through the Platform are for Rentol's service fees and promotional features only. Rent payments, security deposits, and any other payments between Landlords and Tenants are arranged directly between the parties and are not processed through Rentol. Rentol bears no responsibility for any payments made between Users outside the Platform.

If we believe your payment has violated any law or these Terms, we reserve the right to cancel or reverse your transaction.

13. Subscriptions and Promotions

If you subscribe to any paid services or promotional features on the Platform, your subscription will automatically renew at the end of each billing period. You will be automatically billed until we receive notification that you wish to cancel your subscription. You may cancel at any time by contacting us or through your account settings.

14. No Landlord-Tenant Relationship with Rentol

Nothing in these Terms or your use of the Platform creates a landlord-tenant relationship, agency relationship, joint venture, partnership, employment, or franchise relationship between you and Rentol. Rentol does not act as an agent for any Landlord or Tenant. Any landlord-tenant relationship exists solely between the Landlord and the Tenant, and is governed by the applicable lease agreement and landlord-tenant legislation in the relevant jurisdiction.

15. Dispute Resolution Between Users

Any disputes arising between Landlords and Tenants are solely between those Users. Rentol is not obligated to mediate, arbitrate, resolve, or become involved in any disputes between Users, including but not limited to disputes regarding lease terms, rent payments, security deposits, maintenance, evictions, or property condition. You agree to resolve any disputes with other Users directly, including through the applicable Landlord and Tenant Board or court of competent jurisdiction, without involving Rentol.

16. Links to Third-Party Websites

The Platform may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party website or service. It is your responsibility to review the terms and privacy policies of any third-party websites you visit.

17. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

18. Consumer Protection Law

Where the Consumer Protection Act, 2002 (Ontario), the Residential Tenancies Act, 2006 (Ontario), or any other consumer protection or landlord-tenant legislation in your jurisdiction applies and cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. These Terms will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the Province of Ontario for the resolution of any disputes arising under or in connection with these Terms.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Rentol with respect to your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

22. Changes to These Terms

We reserve the right to amend these Terms at any time. Changes will be effective upon posting to the Platform. We may notify Users of material changes by email or by posting a prominent notice on the Site. Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms.
